These Terms of Service govern your use of StaffNet, a workforce operations platform operated by Fregatelab ("we", "us", "our") in Abuja, Nigeria. By creating a workspace, signing in, or accessing StaffNet in any way, you agree to these terms.

Plain summary.

You pay for what you use. Your data is yours - export or delete it anytime. Don't use StaffNet for illegal things or to harm other users. We try our hardest to keep the service running but occasionally things break; we're not liable for indirect business loss from downtime.

1. Who can use StaffNet

You must be at least 18 years old and able to enter a binding contract under Nigerian law. If you are signing up on behalf of a business, you confirm that you have authority to bind that business to these terms.

When you sign up you create a "workspace" - a separate database schema on our infrastructure that holds your team's data. The person who signs up is the initial workspace owner and controls admin access.

We reserve the right to suspend a workspace we find in serious breach of this section, with as much notice as the situation allows.

You can cancel your subscription at any time from settings. Your workspace remains active until the end of the current billing period. After 90 days of inactivity or non-payment, we may purge the workspace's data (see the Privacy Policy for retention details).

We may terminate a workspace for serious breach of section 3, or if we're legally required to. Where possible we will give you 30 days to export your data before deletion.

6. Ownership of data + content

Your data is yours. You retain all rights to the workforce data your team enters (staff records, tasks, documents, etc.). You grant us a limited licence to host, transmit, back up, and display that data solely for the purpose of providing StaffNet to you.

StaffNet is ours. The platform itself - software, design, brand, content - is owned by Fregatelab. Nothing in these terms gives you a licence to copy, redistribute, or create competing products from it.

7. Third-party services

StaffNet integrates with third-party services (Paystack, Flutterwave, KudiSMS, Postmark, Loyverse, etc.). Your use of those integrations is subject to their own terms. We are not responsible for the availability or behaviour of third-party services.

8. Uptime + support

We aim for high uptime and reliability but do not offer a formal SLA on standard plans. Enterprise plans may include an SLA - see the applicable order form.

Support is available through the in-app help widget and contact form. We usually respond within one Nigerian business day.

9. Warranties + disclaimers

StaffNet is provided "as is" and "as available". We make no warranties beyond what Nigerian law requires we cannot exclude. Specifically, we do not warrant that the service will be uninterrupted, error-free, or fit for any particular purpose.

You are responsible for validating that outputs from StaffNet (payroll calculations, tax reports, PAYE numbers, etc.) match the current requirements of Nigerian tax and labour law. We do our best to keep the built-in rules current but cannot guarantee they reflect every legislative change immediately.

10. Limitation of liability

To the fullest extent Nigerian law allows:

Nothing in these terms limits our liability for fraud, wilful misconduct, or anything Nigerian law says cannot be limited.

11. Indemnity

You agree to indemnify Fregatelab against reasonable claims arising from (a) content you upload that violates a third party's rights, or (b) your use of StaffNet in breach of these terms.

12. Changes to these terms

We may update these terms. Material changes are communicated to the workspace owner by email with at least 15 days notice before they take effect. Continued use after the effective date counts as acceptance.

13. Governing law + disputes

These terms are governed by the laws of the Federal Republic of Nigeria. Disputes should first go through good-faith negotiation. If unresolved, they will be settled through the courts of the Federal Capital Territory, Abuja.
